1. Acceptance of Terms
By accessing and using validcodesolutions.com (the "Website") and purchasing digital software assets, prompt architectures, agency operating toolkits, or turnkey web engineering packages from ValidCode Solutions, you accept and agree to be bound by the terms and provisions of this agreement.
2. Merchant of Record & Payment Processing (Whop)
All financial transactions, orders, and checkouts on this Website are processed securely through Whop (Whop, Inc.), our authorized Merchant of Record (MoR). Whop serves as the Merchant of Record for all purchases of digital goods and services offered by ValidCode Solutions. By completing an order, you agree to provide accurate billing credentials and abide by Whop's terms and policies.
3. Digital Products & Email Delivery
ValidCode Solutions provides digital software assets, prompt engineering packages, and web development services ("Products & Services").
Fulfillment Method: Digital products (Prompt Packs & Agency OS) are fulfilled electronically via direct email dispatch to the billing email address supplied at checkout, typically processed within 48 hours (during business hours: Monday to Friday, 9:00 to 17:00 GMT+1). Documented email transmission records and SMTP server receipts are maintained upon dispatch as proof of fulfillment.
Turnkey Website Builds: Custom website projects initiate with an onboarding review within 48 hours, followed by milestone deliveries and dedicated staging previews as specified in your project scope.
4. Commercial Use License (Licensed, Not Sold)
All software architectures, codebases, templates, and prompt packages are licensed, not sold. Upon purchase, ValidCode Solutions grants you a personal, non-exclusive, non-transferable Commercial Use License to use, customize, and deploy the assets for your own commercial or non-commercial applications in accordance with our End User License Agreement (EULA). ValidCode Solutions retains all underlying intellectual property rights, copyrights, and proprietary ownership.
5. Refund Policy & Website Defect Warranty
Digital Goods (Prompt Packs & Agency OS): Because digital prompt architectures and codebases are non-tangible, irrevocable digital goods that provide full access upon delivery, all digital sales are strictly final and non-refundable once files are dispatched to your email address. This policy is explicitly disclosed prior to checkout in compliance with Whop and card payment network guidelines.
Turnkey Website Builds & Defect Rectification Warranty: Custom web engineering services (Launchpad Website, Growth Website, and Custom E-Commerce Store) are non-refundable once technical kickoff has commenced. However, all website builds are backed by our 30-Day Defect Rectification Warranty: ValidCode Solutions will resolve and patch any reproducible functional defect, broken integration, or deviation from the agreed specifications free of charge within 30 days of staging delivery.
6. Limitation of Liability
In no event shall ValidCode Solutions, nor its directors, employees, or partners, be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your access to or inability to use the Products & Services. Software is provided under our EULA standards.
